Benelux Games Promotional Initiative, hereinafter referred to as 'BGPI', and Antwerp Audio Lab, hereinafter referred to as 'PARTNER', mutually agree to enter into this agreement on 26 September 2026, with full understanding and commitment to the terms outlined herein.
Covenants of the Agreement:
The Partner agrees to sponsor the 2027 edition of INDIGO, encompassing both the VIP Day and the main INDIGO event. The VIP Day is scheduled for June 1st and the INDIGO event for June 2nd and 3rd, 2027, at WTC Rotterdam. Collectively, these days of activities will be referred to as the 'EVENT'. By entering into this agreement, the Partner commits to supporting both the VIP Day on June 1st and the INDIGO event on June 2nd and 3rd.
The Partner shall provide BGPI with a sponsorship amount of EUR 3.900,00, exclusive of VAT. This amount is payable within 30 days following the issuance of the invoice.
In recognition of the above sponsorship, BGPI will provide the following benefits to the Partner:
Each party hereby acknowledges and respects the ownership of the other party's trademarks and agrees that no interest in these trademarks will be acquired through this Agreement. The use of the other party's trademarks is permitted exclusively in the manner and for the purpose as explicitly outlined in this Agreement and must adhere to any guidelines provided by the trademark owner. Both parties commit to refraining from making any claims to the other party's trademarks or initiating filings for marks that are confusingly similar. Upon the expiration of this Agreement, each party must cease the use of the other party's trademarks. Additionally, any unauthorized use of trademarks may result in immediate termination of this Agreement and potential legal action.
This Agreement constitutes the complete and exclusive understanding between PARTNER and BGPI regarding its subject matter, superseding all prior agreements and understandings. It can only be amended through a written document duly signed by both parties. Both PARTNER and BGPI will not be liable for any indirect, incidental, consequential, or exemplary damages, including but not limited to lost profits, arising from or related to their actions or omissions under this Agreement, even if informed of the possibility of such damages. This limitation of liability is a fundamental element of the basis of the bargain between the parties and reflects a fair allocation of risk.
This Agreement is effective from the date of signing and will remain in force until 3 July 2027, unless terminated earlier under the conditions outlined herein. PARTNER may terminate this Agreement if BGPI commits a material breach of any term that remains unremedied for 15 days following written notification. In the event of such termination, PARTNER will be entitled to a pro-rata refund of any fees paid in advance, considering the sponsorship benefits that have already been provided. Early termination by either party must be communicated in writing, and the parties agree to settle any outstanding obligations in a prompt and equitable manner.
BGPI assures that all services provided under this Agreement, including the operation of the EVENT, will be conducted with the highest level of professionalism, care, skill, and diligence, in line with the best industry practices. BGPI further guarantees compliance with all applicable laws, regulations, and relevant third-party agreements at all times during the execution of this Agreement. Non-compliance with these standards may result in reputational damage, legal consequences, and potential termination of the Agreement.
This Agreement shall be governed by and interpreted in accordance with the laws of the Netherlands. Both parties agree to submit to the exclusive jurisdiction of the Dutch courts for any disputes arising from or related to this Agreement.

This Agreement is issued by the Benelux Games Promotional Initiative, which is bound by its terms from the date of issue. The Agreement enters into force when it is signed by the Partner's authorised representative below.
